§ 9412 Member Voting Quorum Rules

Key Takeaways

  • •At least 1/3 of the members must be present (in person, by ballot, or by proxy) to have a valid meeting.
  • •If enough members are present, decisions are made by a majority vote of those present.
  • •Even if some members leave and there are fewer than 1/3 left, the meeting can still make decisions if a majority of the original quorum agrees.
  • •If not enough members are present, the only thing they can do is reschedule the meeting.

Example

A neighborhood association meeting to decide on new park rules.

If there are 30 members in the association, at least 10 must show up to have a valid meeting. If 10 are present, they can vote on new rules, and if 6 agree, the rule passes. Even if 5 leave later, the remaining 5 can still make decisions if at least 6 of the original 10 agree.

(b) The members present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment notwithstanding the withdrawal of enough members to leave less than a quorum, if any action taken (other than adjournment) is approved by at least a majority of the members required to constitute a quorum or, if required by this division, or by the articles or the bylaws, the vote of the greater number or voting by classes. (c) In the absence of a quorum, any meeting of members may be adjourned from time to time by the vote of a majority of the votes represented either in person or by proxy, but no other business may be transacted, except as provided in subdivision (b).
