§ 7141 Corporate Power Limitations Enforcement

Key Takeaways

  • •If a company does something it's not supposed to, only the company's members or the state can stop it—outsiders can't complain unless they're directly harmed.
  • •If the company's leaders (like the board or officers) make a deal or sign something, the company has to stick to it, even if the deal isn't finished yet.
  • •The company can't say 'that wasn't our real plan' to get out of a deal if its leaders agreed to it.

Example

A company's manager signs a contract to buy 100 computers, but later the company says, 'We didn’t really mean to do that.'

The company has to follow the contract because the manager had the power to make the deal. They can’t back out just because they changed their mind.

(b) Any contract or conveyance made in the name of a corporation which is authorized or ratified by the board, or is done within the scope of authority, actual or apparent, conferred by the board or within the agency power of the officer executing it, except as the board’s authority is limited by law other than this part, binds the corporation, and the corporation acquires rights thereunder whether the contract is executed or wholly or in part executory.
