§ 5141 Corporate Power Limitations Enforcement

Key Takeaways

  • •If a company does something it's not allowed to do, only the company's members or the state can stop it—outsiders can't complain unless they're directly hurt.
  • •If the company's leaders (like the board or officers) make a deal or sign something for the company, the company has to stick to it—even if the deal isn't finished yet.
  • •The company can't say 'that wasn't our real plan' if its leaders made a deal that seemed okay at the time.

Example

A toy company's boss signs a big order for plastic parts, but later the company says, 'We never really meant to buy that much!'

The company has to pay for the parts because the boss had the power to make the deal. The company can't back out just because they changed their mind.
