§ 834 Securities Permit Application

This law says you have to file a special application on regular 8½‑by‑11 paper to get permission to sell securities, and it tells you exactly what information you must include.

Key Takeaways

  • •The application must be verified like a court pleading.
  • •It must be printed on standard 8½ × 11‑inch paper.
  • •You must include all eight listed items (officers, office, finances, plan, security copy, contract copy, prospectus/advertisement copy, and any extra info the commissioner asks for).

Example

A new tech company wants to sell shares to the public for the first time.

The company must send a paper application to the commissioner that lists its officers, office address, a detailed list of its money and debts, a business plan, copies of the share certificates, any contracts about the shares, and any ads or prospectus it plans to use. The commissioner can also ask for more info.
