§ 9926 Nonprofit Corporation Continuation Election

Key Takeaways

  • •Old companies from before 1873 can choose to follow new rules if they haven't already.
  • •The company's leaders (directors) can all agree to switch rules, or most of the members can vote for it.
  • •They have to send a paper to the government saying they want to switch rules.
  • •After switching, the company has to follow all the new rules, good and bad.

Example

A small local library that started in 1870 wants to update how it runs.

The library's board can all agree to follow newer rules, or most of the library members can vote for it. Then they send a signed paper to the government. Now the library must follow all the new rules for libraries.
