§ 7213 Corporate Officer Requirements

Key Takeaways

  • •A company must have certain leaders, like a president or chairperson, a secretary, and someone to handle money (treasurer or chief financial officer).
  • •The president (or chairperson if there's no president) is usually the main boss unless the company's rules say otherwise.
  • •One person can have more than one job in the company unless the rules say they can't.
  • •The company's board picks these leaders, and they can leave anytime by giving written notice.

Example

A small company has only a few people working there.

The company must have at least a president (or chairperson), a secretary, and someone to handle money. The board can choose these people, and the president is usually the main boss. If the company is very small, one person could be both the president and the secretary, unless the company's rules say they can't.
