§ 2600 Social Purpose Corporation Formation

Key Takeaways

  • •A group of people or companies can create a special kind of company called a 'social purpose corporation' by filling out and submitting some papers.
  • •If the papers list the first leaders (directors) of the company, those leaders must sign the papers. If not, the people starting the company must sign them.
  • •Once the papers are filed, the company exists forever unless the law or the papers say otherwise.

Example

A group of friends wants to start a company that sells shoes and also helps the environment.

They can create a social purpose corporation by filling out some papers and signing them. Once they file these papers with the government, their company officially exists and will keep existing unless they decide to close it or break the law.
