§ 9120 Corporation Formation Requirements

Key Takeaways

  • •A group of people can create a corporation by filling out and filing some papers called 'articles of incorporation'.
  • •If the papers list the first directors, those directors must sign them. If not, the people starting the corporation sign them.
  • •Once the papers are filed, the corporation exists and keeps existing forever, unless the law or the papers say otherwise.

Example

A few friends want to start a business together.

They fill out some papers called 'articles of incorporation' and file them. They list themselves as the first directors and sign the papers. Once filed, their business becomes a corporation and will keep being a corporation unless they decide to close it or break the law.
