§ 2311 Voting Trusts Effective Date

• •New law governs voting trusts and agreements created after its start date.
• •Agreements made before the start date keep following the old law.
• •If an old agreement is later changed or extended, the new law then applies to it.

A company creates a voting trust on January 1, 2026, after the law took effect. The new law controls how that trust works. Another company had a voting trust set up in 2024; the old law still applies unless they later modify the trust in 2027, at which point the new law takes over.

The first trust follows the new rules right away because it was made after the law began. The second trust follows the old rules because it was made before the law, but if the company updates the trust later, the new rules will then apply.
