§ 2301 Corporate Law Effective Date

This law says that from the day it starts, it only controls what corporations, directors, and shareholders do after that day; anything they did before follows the old rules.

Key Takeaways

  • •The new law only applies to actions, contracts, or votes that happen on or after its effective date.
  • •Anything done before the effective date is still governed by the old law.
  • •Votes or consents made before the effective date stay valid under the old law, even if the paperwork is filed later.

Example

A company signs a new lease on June 1, 2025, and the law became effective on May 1, 2025.

Because the lease was signed after the law started, the new law tells how the lease must be handled. If the same company had signed a lease on April 15, 2025, the old law would still apply to that lease.

(c) Except as otherwise expressly provided in this chapter, any vote or consent by the directors or shareholders of a corporation prior to the effective date in accordance with the prior law shall be effective in accordance with the prior law and if any certificate or document is required to be filed in any public office of this state relating to such action, it may be filed after the effective date in accordance with the prior law.
