§ 2113 Foreign Corporation Merger Surrender

This law says that when a foreign company (one from another state) files certain merger or conversion papers, it gives up its right to do business in this state, and if it hasn't filed those papers, it must file a surrender certificate when it merges into another foreign company.

Key Takeaways

  • •Filing a merger or conversion document for a foreign corporation that does business here means the corporation surrenders its right to do business in the state.
  • •If those documents aren't filed, the corporation must file a certificate of surrender when it merges into another foreign corporation.
  • •The surrender certificate can be signed by an officer of the surviving corporation, but must include a statement from an authorized official confirming the merger and naming the surviving corporation.

Example

A bakery that is incorporated in State X but does business here decides to merge with a coffee shop also from State X.

When the bakery files the merger agreement with the state, that filing automatically means the bakery no longer has the right to keep operating here. If the bakery forgets to file the merger agreement, it must later file a surrender certificate after the merger is completed.
