§ 2102 Foreign Corporation Agent Designation

• •A foreign corporation that files an agent designation skips the extra statement required by Section 2105.
• •The corporation must file an amended statement and new agent designation when Section 2107 requires it.
• •All filings must follow the qualification rules that were in effect when the original agent designation was filed.

A Canadian software firm wants to do business in the state and files paperwork naming a local lawyer as its agent for service of process.

Because the firm already filed the agent designation, it doesn't need to also file the separate statement that Section 2105 normally requires. Later, if the state tells it to update its information under Section 2107, the firm must file a new, amended statement with the updated agent details.
