§ 12696 Corporate Meeting Voting Rules

This rule says that the new corporate meeting rules apply to any member meeting or written vote that happens on or after Jan 1 1984, unless the meeting was first set for a date before Jan 1 1984.

Key Takeaways

  • •New meeting rules apply to any meeting or written vote that occurs on or after Jan 1 1984.
  • •The new rules also cover written ballots that become effective after Jan 1 1984, even if the ballot was filled out earlier.
  • •If a meeting was originally scheduled for a date before Jan 1 1984 and members were notified, the old rules still apply.

Example

A company holds a shareholder meeting on March 10 2024 and lets members vote by mail.

Because the meeting and the mail‑in vote happen after Jan 1 1984, the new rules in Chapters 5 and 6 are used, even if some members mailed their ballots before 1984.
