§ 12202 Corporate Continuity Under Old Law

This law says that old corporations formed before 1984 still follow the old rules, even if the laws change. It also says that if a corporation did something wrong before the new law, they can still be held responsible.

Key Takeaways

  • •Old corporations (before 1984) still follow the old rules.
  • •If a corporation did something wrong before the new law, they can still be punished.
  • •Changes in the law don’t erase past mistakes.

Example

A company was created in 1980 and did something bad in 1982.

Even if the laws change in 1984, the company can still be in trouble for what they did in 1982.
