§ 8305 Incomplete Instruction Completion

This law lets anyone finish an incomplete instruction and lets the person who started it rely on that finished version, and it says the starter only has the duties in Section 8108 unless they agree to more.

Key Takeaways

  • •An incomplete instruction can be completed by anyone, and the original sender can rely on that completion.
  • •The person who starts the instruction only has the obligations in Section 8108 unless they specifically agree to additional duties.
  • •The rule applies even if the completed instruction is done incorrectly.

Example

A company sends a payment order that is missing a required field. An employee fills in the missing field and sends the completed order to the bank.

Because the original order was incomplete, the employee was allowed to finish it, and the company can rely on the completed order even if the employee made a mistake in filling it out.

§ 8305 Incomplete Instruction Completion

(a) If an instruction has been originated by an appropriate person but is incomplete in any other respect, any person may complete it as authorized and the issuer may rely on it as completed, even though it has been completed incorrectly. (b) Unless otherwise agreed, a person initiating an instruction assumes only the obligations imposed by Section 8108 and not an obligation that the security will be honored by the issuer. (Repealed and added by Stats. 1996, Ch. 497, Sec. 9. Effective January 1, 1997.)
