§ 105012 Rail Authority Dissolution Transfer

When the Sonoma-Marin Area Rail Transit Commission and the Northwestern Pacific Railroad Authority are closed, the district automatically takes over all their powers, duties, property, contracts, and any references to them in the law.

Key Takeaways

  • •The district gets every power, duty, right, and debt the two agencies had.
  • •All property—land, buildings, equipment—can be moved to the district.
  • •Any contract the agencies were part of continues with the district as the new party.
  • •From the dissolution date onward, any law that mentions the agencies now means the district.

Example

The rail commission had a contract to build a new train station that was supposed to start after the commission closed. The district steps in and finishes the station under the same contract.

Because the law says the district assumes all rights and obligations of the commission and authority, it now runs the contract and finishes the work.
