§ 6004 Member Record Date Rules

Key Takeaways

  • •The board can pick a 'record date' to decide who gets to vote or get notices. This date must be between 10 and 60 days before the meeting or action.
  • •If the board doesn’t pick a record date, the date is automatically set to the day before notices are sent or the meeting happens.
  • •If a meeting is postponed, the same list of members can still vote unless the board picks a new record date.
  • •Federal rules about record dates always win if they’re different from these rules.

Example

Your neighborhood group is voting on building a new playground. The board sends out notices on May 1st, and the meeting is on May 15th.

If the board didn’t pick a record date, only people who were members on April 30th (the day before notices went out) get to vote at the meeting.

§ 6004 Member Record Date Rules

(a) In order that the association may determine the members entitled to notice of any meeting or to vote or entitled to receive any distribution or entitled to exercise any rights in respect of any other lawful action, the board of directors of the association may fix, in advance, a record date, which shall not be more than 60 or less than 10 days prior to the date of such meeting or more than 60 days prior to any other action, provided, however, that if the provisions hereof conflict with the provisions of any federal statute or regulation relating to fixing of record dates for associations, the provisions of the federal statute or regulation shall prevail. (b) If no record date is fixed pursuant to subdivision (a) above: (1) The record date for determining members entitled to notice of or to vote at a meeting of members shall be at the close of business on the business day next preceding the day on which notice is given or first published, or if notice is waived, at the close of business on the business day next preceding the date on which the meeting is held. (2) The record date for determining members entitled to give consent to action in writing without a meeting, when no prior action by the board of directors has been taken, shall be the date on which the first written consent is given. (3) The record for determining members for any other purpose shall be at the close of business on the day on which the board adopts the resolution relating thereto, or the 60th day prior to the date of such other action, whichever is later. (c) A determination of members of record entitled to notice of or to vote at a meeting of members shall apply to any adjournment of the meeting unless the board fixes a new record date for the adjourned meeting. (Repealed and added by Stats. 1983, Ch. 1091, Sec. 2.)
