§ 1102 Bank Article Amendment Approval

This law says a bank can only change its official paperwork if it files the change with the Secretary of State, gets the commissioner’s okay, and then sends a copy to the commissioner; changes that happen because of a merger take effect when the merger does.

Key Takeaways

  • •Bank changes need a filing with the Secretary of State and the commissioner’s approval.
  • •After the change is approved, the bank must quickly send a certified copy to the commissioner.
  • •If the change is part of a merger, it only becomes real when the merger is finalized.

Example

A bank wants to change its name from "Sunrise Bank" to "Sunrise Community Bank".

The bank must file the name‑change paperwork with the Secretary of State, wait for the commissioner to approve it, and then send a certified copy of that filing to the commissioner. If the name change is part of a merger, it becomes official when the merger itself becomes official.
