§ 8712 Director Identity Or Appointment

Key Takeaways

  • •If a company's leaders (directors) are missing, dead, or won't do their job, someone can ask a court to help.
  • •The court can decide who the real leaders are or pick new ones to close down the company.
  • •Even the Attorney General can ask the court to help if the company holds money for charity.

Example

A small local charity's leaders all quit suddenly, and no one knows who is in charge. The charity has money left to give away, but no one can decide how to do it.

Someone who cares about the charity (or the Attorney General) can go to court and ask a judge to pick new leaders. The judge will listen to everyone involved and then decide who should be in charge to finish the charity's work.
