§ 8336 Corporate Inspection Enforcement

Key Takeaways

  • •If someone refuses to show important company records when they're legally supposed to, a court can step in and make them show the records.
  • •The court can also hire experts to check the company's money and property if there's a good reason.
  • •Anyone in the company who has the records must hand them over, or they could get in trouble with the court.
  • •The person who asked for the records usually has to pay for the check-up, unless the court says the company should pay.

Example

Imagine you own part of a small company, but the boss won’t let you see how the company is spending money, even though you have a right to know.

You can go to court, and the court can force the boss to show the money records. If the boss still refuses, they could get in trouble. You might have to pay for the cost of checking the records, unless the court decides the company should pay instead.
