§ 7811 Amending Articles By Incorporators

Key Takeaways

  • •This rule is about changing the papers that started a company.
  • •You can change these papers if most of the people who started the company agree and sign it.
  • •But you can only do this if the company has no bosses, no one has been picked as a boss, and no one owns part of the company.

Example

A group of friends starts a small company together but hasn’t picked any bosses yet.

If all the friends agree, they can change the company’s starting papers by signing a new one. But if they’ve already picked a boss or sold parts of the company to others, they can’t do this.
