§ 6614 Corporate Winding Up Oversight

Key Takeaways

  • •If a company is closing down on its own, a court can step in to make sure everything is done fairly.
  • •The court can help if someone asks for it—like the company itself, its leaders, the Attorney General, or people the company owes money to.
  • •The court makes sure money and stuff the company owns are handled the right way and that people who are owed money get treated fairly.
  • •The court can give orders to protect the company’s money, the people it owes, and the reason the company existed in the first place.

Example

A small toy company decides to close because it’s not making enough money. Some people who lent money to the company worry they won’t get paid back.

Those people can ask a court to watch over the closing process. The court can then make rules, like making sure the company sells its toys and pays back its debts fairly before shutting down completely.

§ 6614 Corporate Winding Up Oversight

If a corporation is in the process of voluntary winding up, the superior court of the proper county, upon the petition of (a) the corporation, or (b) the authorized number (Section 5036), or (c) the Attorney General, or (d) three or more creditors, and upon such notice to the corporation and to other persons interested in the corporation as members and creditors as the court may order, may take jurisdiction over such voluntary winding up proceeding if that appears necessary for the protection of any parties in interest or if it appears necessary to protect the purpose or purposes served by the corporation. The court, if it assumes jurisdiction, may make such orders as to any and all matters concerning the winding up of the affairs of the corporation and the protection of its creditors, its assets and its purpose or purposes as justice and equity may require. The provisions of Chapter 15 (commencing with Section 6510) (except Sections 6510 and 6511) shall apply to such court proceedings. (Added by Stats. 1978, Ch. 567.)
