§ 5913 Corporate Asset Disposal Notice

Key Takeaways

  • •If a company wants to sell or give away most of its stuff (like buildings, machines, or big amounts of money), it has to tell the Attorney General 20 days before doing it.
  • •The company doesn’t have to tell the Attorney General if selling stuff is part of its normal business (like a store selling its products every day).
  • •The Attorney General can say it’s okay to skip the 20-day notice if they give the company permission in writing.
  • •This rule doesn’t apply to certain special companies that already follow other reporting rules (like some groups involved in politics).

Example

A toy company decides to sell all its factories and toys to another big company.

The toy company must send a letter to the Attorney General 20 days before selling everything. If they don’t, they could get in trouble. But if the Attorney General writes back saying it’s okay, they can sell everything without waiting.
