§ 5523 Corporate Director Election Materials

• •Big companies with 500 or more members must treat all director candidates fairly when sending out voting materials.
• •If the company sends out papers asking for votes for one candidate, they must give the same space and importance to all other candidates.
• •The company has to pay for this equal space for all candidates.
• •Candidates can use this space to share their ideas related to the election.

A big company with 1,000 members is holding an election for its board of directors. They send out flyers supporting one candidate, giving them a full page to talk about their ideas.

The company must also give every other candidate a full page in the same flyer, with the same size and placement. The company has to pay for this, and the other candidates can use their page to explain why people should vote for them.
