§ 5234 Director Conflict Transactions

Key Takeaways

  • •A company can make deals with another company even if they share the same director.
  • •The deal is okay if the board knows about it and approves it fairly, without the shared director’s vote.
  • •If the board doesn’t approve it properly, the deal is still okay if it’s fair to the company at the time.
  • •This rule doesn’t apply to deals covered by another law (Section 5233).

Example

A director of Company A also works for Company B. Company A wants to buy supplies from Company B.

The deal is fine if Company A’s board knows about the shared director and approves the deal fairly, without that director’s vote. If they don’t approve it properly, the deal is still okay if the price and terms are fair to Company A.
