§ 5121 Unincorporated Association Incorporation

Key Takeaways

  • •A group that isn't a company can become a company if they follow their own rules to agree on it.
  • •When the group becomes a company, all their stuff (like property) now belongs to the company.
  • •If the group owes money or has legal problems, those don't go away just because they became a company.
  • •If someone from the group makes a new company without following the rules, the group keeps its name, and the new company can't use the same or similar name.

Example

A local club that meets to play chess wants to become an official company to buy a building for their meetings.

The club members vote to become a company following their club rules. After they file the right papers, the building they own as a club now belongs to the new company. If the club owed money to someone, the new company still has to pay that money.
