§ 18410 Dissolving Unincorporated Associations

This law tells how a non‑corporate group (like a club or association) can be officially ended.

Key Takeaways

  • •If the group’s own rules say how to end it, follow those rules.
  • •If there are no rules, a majority of members must vote to end the group.
  • •If the group hasn’t done anything for at least three years, the board (or the last board) can dissolve it.
  • •A court can also order the group to be dissolved if it has stopped operating.

Example

A neighborhood garden club hasn't met or done any gardening for four years, and the current board members want to close it down.

Because the club hasn't been active for more than three years, the board (or the last board members if there is no current board) can decide to dissolve the club under this law. If the club had a rule about ending the group, they'd follow that rule first. If there was no rule, they'd need a vote from most members.
