§ 16704 Partner Dissociation Statement

This law lets a partner who leaves a partnership tell the state they’re no longer part of it, and after 90 days everyone else is assumed to know they’re out.

Key Takeaways

  • •A leaving partner (or the partnership) can file a statement that includes the partnership’s name and ID.
  • •The filed statement limits what the former partner can do for the partnership.
  • •Anyone who isn’t a partner is treated as having notice of the dissociation 90 days after the statement is filed.

Example

Jane quits the bakery she co‑owns with Tom. She files a statement of dissociation with the Secretary of State showing the bakery’s name and ID number.

Because Jane filed the statement, the law says she can’t act for the bakery anymore, and after 90 days suppliers and customers are considered to know she’s no longer a partner.
