§ 16603 Partner Dissociation Effects

When a partner quits a partnership, they lose the right to run the business and their loyalty duty stops, but they still have to be loyal and careful about anything that happened before they left.

Key Takeaways

  • •Leaving a partnership ends the partner’s right to manage the business.
  • •The partner’s duty to be loyal to the partnership stops for anything that happens after they leave.
  • •The partner still has to be loyal and careful about matters that arose before they left.

Example

Jane was a partner in a small accounting firm and decides to leave the partnership.

After she leaves, Jane can no longer make decisions for the firm and doesn't owe loyalty for new business, but she still must act loyally and responsibly about any client work or contracts that were started while she was still a partner.
