§ 12474 Nominee Election Mailing Rights

This law says that if someone running for a company's board asks in writing and pays for it, the company must mail election-related stuff to its members within 10 days, unless the company gives the nominee other options within 5 days.

Key Takeaways

  • •If you're running for a company's board, you can ask them to mail stuff to members to help your campaign.
  • •You have to pay for the mailing, and the company has 10 days to do it.
  • •The company can choose to give you other ways to share your message (like speaking at a meeting) within 5 days instead of mailing.

Example

Imagine you're running for the board of a big company, like trying to become a leader of a club.

If you want to send letters to all the club members to tell them why they should vote for you, the club has to mail those letters for you if you pay for it. But if the club lets you speak at a meeting or post your message on their website within 5 days, they don’t have to mail your letters.
