§ 10407 Finance Lease Irrevocable Promises

This law makes a business lease’s promises final once the lessee accepts the goods, so they can’t be canceled or changed without the other party’s agreement.

Key Takeaways

  • •Lessee’s promises become irrevocable and independent when they accept the goods in a non‑consumer finance lease.
  • •Those promises are enforceable against the lessee and can bind third parties, including assignees.
  • •The promises cannot be canceled, terminated, modified, or repudiated without the consent of the party they run against.

Example

A company leases a delivery truck, takes possession of it, and then tries to cancel the lease.

Because the company accepted the truck, the lease promises are now irrevocable and independent; the company must get the lessor’s consent to cancel or modify the lease.
